Mivare Space payment terms
The complete document in a clear HTML format, the same text as in the PDF.
1. Scope
These Payment Terms set out the rules for paid use of the Mivare Space service provided by MIVARE GROUP PROSTA SPÓŁKA AKCYJNA, with its registered office in Krasnobród, KRS 0001268091, NIP 9223092251, REGON 545767254, operating under the Mivare Space brand, hereinafter “Mivare”.
These Payment Terms form part of the Contract concluded on the terms of the Mivare Space Terms of Service (MSP-LEG-001). Capitalised terms have the meanings given to them in the Terms of Service. The billing email address is the company email address provided in the Company Account settings or, if there is none, the address of the Account Administrator; Mivare sends messages about payments and the Trial Period to this address.
2. Trial Period
After registration, the Customer uses the Application free of charge for 30 days, with full functionality, including the Mivi+ module and the additional modules paid for separately under the price list, and without providing payment card details. The Trial Period does not automatically convert into a paid Subscription. The Subscription is activated by the Account Administrator. At the Customer’s request, Mivare may extend the Trial Period once, by no more than 30 days; Mivare confirms the new end date of the Trial Period by a message to the billing email address. If the Subscription has already been activated, the day of the first payment moves to the new end of the Trial Period.
A Subscription may be activated before the end of the Trial Period; the Trial Period then runs until its end, and the first payment is collected on the day it ends. At the end of the Trial Period the Mivi+ module and the additional modules switch off automatically, except those that the Account Administrator has enabled for a fee under the Subscription; data created with them remain available read-only. Modules that have been switched off are chargeable only if the Account Administrator deliberately enables them.
If no Subscription is activated, access remains active for a further 3 days after the end of the Trial Period, after which it is suspended, and the Contract expires 30 days after the end of the Trial Period, in accordance with the Terms of Service. No fees are charged for the Trial Period.
3. Price list
The Subscription fee is set according to the Mivare Space price list, which specifies the billing unit (in particular the number of people whose work is managed in the Application), the rates and thresholds, the discount for annual payment and the scale above which the price is set individually. The price list may provide for additional modules and resources (e.g. additional accounts or file storage space) payable separately; their scope and price are shown in the Application before they are enabled, and enabling and disabling a module is settled in accordance with section 4 in the same way as a change in the number of units.
The applicable price list is presented in the Application before the Subscription is activated. The amount payable is shown before the payment is confirmed. Terms agreed individually with the Customer in written or electronic form take precedence over the price list.
Prices are stated in Polish zloty (PLN) as net prices. Value added tax is added to the price in accordance with the provisions in force on the date the tax obligation arises:
- for Customers from Poland: at the domestic rate;
- for Customers from another European Union member state whose EU VAT number is active in the VIES system at the time it is checked by the Application: without Polish VAT, with the tax accounted for by the Customer (reverse charge);
- for Customers from another European Union member state whose EU VAT number could not be confirmed in the VIES system: at the domestic rate;
- for Customers from outside the European Union: in accordance with the rules on the place of supply of services.
Currency conversion costs and fees of the Customer's bank or card issuer are borne by the Customer.
The Mivi+ module, a paid extension of the Mivi assistant described in the Terms of Service, costs PLN 149 net per calendar month for the entire Company Account, irrespective of the number of billing units and Users; in the annual cycle it is subject to the same discount as the Subscription. Mivi+ is billed in the same cycle as the Subscription. During the Trial Period Mivi+ is available free of charge on the terms of section 2. The Account Administrator enables it in the Licence tab: the module becomes active immediately after successful payment, and Mivare charges the saved card with a fee pro rata to the time remaining until the end of the paid period, calculated from the start of the day of the additional payment, plus VAT; the amount is shown before approval, and from the next renewal the full fee applies. Disabling Mivi+ takes effect at the end of the paid billing period; the fee for that period is refundable only in the cases set out in section 8.
4. Billing periods
The Subscription is paid in advance, on a monthly or annual cycle chosen by the Account Administrator. When the billing period begins depends on when the Subscription is activated.
- Subscription activated during the Trial Period: the first billing period begins on the day the Trial Period ends, and the first payment, collected on that day, covers the full period. If the Subscription is activated less than 49 hours before the end of the Trial Period, the first billing period begins and the first payment is collected 49 hours after its activation, and until then access to the Application continues free of charge. On the monthly cycle, subsequent payments are collected automatically on the same day of each month or, in a month that has no such day, on its last day; on the annual cycle, the next payment is collected after 12 months.
- Subscription activated after the end of the Trial Period: billing periods begin on the first day of a calendar month. The first payment covers a pro rata fee for the time from the payment date to the first day of the following calendar month. On the monthly cycle, subsequent payments are collected automatically on the first day of each month, in advance for that month; on the annual cycle, the payment is collected in advance for 12 consecutive calendar months, and the next annual payment on the first day of the month following the end of those 12 months.
- On the annual cycle, the payment is subject to the discount indicated in the price list.
The number of billing units covered by the first payment is determined on the day it is collected. If, within a paid period, the number of units is to exceed the number paid for and the change increases the price, Mivare immediately charges the saved card with the difference between the price of the period for the new and the existing number of units, pro rata to the time remaining until the end of the period, calculated from the start of the day of the additional payment, plus VAT; the amount of the additional payment is shown before the change is approved, and the change applies after successful payment. A change that does not increase the price requires no additional payment. A reduction in the number of units lowers the fee from the next renewal; the fee for the current period is not refunded. From each renewal, the price for the number of units on the renewal date applies. If the number of units would exceed the threshold above which the price is set individually, the change requires agreeing terms with Mivare.
5. Payment methods and recurring payments
Payments are made by payment card, including via the Apple Pay and Google Pay wallets, through the Stripe payment service, operated for customers from the European Economic Area by Stripe Payments Europe, Limited, with its registered office in Ireland, on the terms of the operator's rules.
By activating the Subscription, the Account Administrator consents to the saved card being charged on a recurring basis with the amounts resulting from the price list on the dates set out in section 4, as well as with additional payments for added billing units. Consent also covers the fees for the Mivi+ module if the Account Administrator enables it. Consent can be withdrawn by cancelling the Subscription; withdrawing consent without providing another card results in the rules described in section 7.
The Account Administrator enters card details directly on the payment operator's page. Mivare neither receives nor stores payment card data. The payment operator does not receive Customer Data. The Subscription is activated after confirmation of payment is received from the operator.
Changing the card and the payment history are available to the Account Administrator in the Licence tab in the Application, in the customer portal operated by the payment operator.
6. Invoices
Mivare issues an invoice for every payment received. The invoice is, as a rule, issued within 48 hours of the payment being booked, and in any case within the time limit arising from the provisions on value added tax, and is sent electronically to the company's e-mail address indicated in the Application or, if none has been indicated, to the Account Administrator's e-mail address.
The Customer accepts receiving invoices in electronic form. Invoices are issued in the manner provided for by the applicable provisions, including in the National e-Invoicing System (KSeF) and other systems whose use is mandatory for Mivare.
Payment confirmations available in the payment operator's customer portal are not invoices.
The Customer is responsible for the correctness of the invoicing data, in particular the name, address and tax identification number or EU VAT number. A corrective invoice due to incorrect data provided by the Customer is issued at its request, if permitted by law.
Invoices for the service are issued by Mivare outside the Application.
7. Non-payment and suspension of access
If a recurring payment fails, the payment operator automatically retries charging the card over a period of approximately four weeks. Mivare sends information about each failed attempt to the billing email address, and the Account Administrator may change the card during that time.
If payment is not successfully made within 3 days of the start of a new billing period, access to the Application is temporarily suspended until the amount due is settled. Successful payment restores access promptly. If all retries fail, the Subscription ends and access remains suspended; the Account Administrator may reactivate the Subscription at any time. Suspension does not result in the deletion of Customer Data, and the Account Administrator retains the ability to export it during that time.
If access remains suspended for non-payment for more than 60 days, Mivare may terminate the Contract in accordance with the Terms of Service. Mivare may claim statutory interest for late payment in commercial transactions and compensation for recovery costs under the Polish Act on counteracting excessive delays in commercial transactions.
8. Cancellation, termination and refunds
The Account Administrator may cancel the Subscription at any time in the Licence tab in the Application or terminate the Contract on the terms of the Terms of Service. Cancellation takes effect at the end of the paid billing period (one month in the monthly cycle or 12 months in the annual cycle); until that date the Account Administrator may withdraw it. After cancellation, no further payments are collected. A cancellation made during a suspension for non-payment takes effect immediately. Mivare confirms the cancellation and its withdrawal by e-mail.
After the Subscription ends, the Account Administrator may download an export of the Customer Data on the terms of the Terms of Service.
The fee for a commenced, paid period is non-refundable, except in the event of:
- termination of the Contract by Mivare for reasons beyond the Customer's control;
- termination of the Contract by the Customer in the cases provided for in the Terms of Service, the SLA or the Data Processing Agreement;
- an upheld complaint or an overpayment;
- cases where a refund results from mandatory provisions of law.
In these cases Mivare refunds the part of the fee proportional to the unused period, within 14 days, to the card from which the payment was made or by bank transfer to the account indicated by the Customer, and issues a corrective invoice.
9. Price changes
Mivare may change the price list for important reasons, in particular changes in infrastructure costs, suppliers or the scope of the service. Mivare informs the Account Administrator of the change by e-mail at least 30 days before it takes effect.
The new price applies from the first billing period beginning after the date the change takes effect. The price of a period paid in advance, including an annual period, does not change. A Customer who does not accept the change may terminate the Contract before it takes effect.
10. Billing complaints
The Customer submits complaints concerning payments and invoices to support@mivarespace.com. Mivare considers them within 14 days of receipt.
These Payment Terms are made available in seven language versions; in the event of any discrepancy, the Polish version prevails. The current version is available at https://mivaregroup.com/en/legal/space/payment-terms/
These Payment Terms are effective from 30 October 2026.
